Notification on merger

Please be informed that the merger of UAB ”EECF Bella SPV” (company code 300625649, domiciled at Konstitucijos ave. 7, Vilnius, Lithuania) and UAB ”Bite Lietuva” (company code 110688998, domiciled at Žemaitės str. 15, Vilnius, Lithuania) was successfully completed.

AB ”EECF Bella SPV” on 1 August 2007 ceased as a legal entity, while UAB ”Bite Lietuva” continues as a going concern. UAB ”Bite Lietuva” took over all of the assets, rights and obligations of UAB ”EECF Bella SPV”.

As a result of the merger, Bite Finance International B.V. (company code 28110155, domiciled Laan van Kronenburg 8, 1183AS Amstelveen, Netherlands) became a direct shareholder of UAB ”Bite Lietuva”. Following the merger the Notes benefit from guarantees from each of SIA ”EECF Bella FinCo” and UAB ”Bite Lietuva”.
